Welcome to CabScript ("Platform", "we", "us", "our"), a product of Laabam One Business Solutions (OPC) Private Limited("Company"). By purchasing, accessing, or using our software, website (www.cabscript.com), or any related services, you ("Buyer", "you", "your") agree to be bound by these Terms and Conditions.

If you do not agree with any part of these terms, you must not purchase or use our products. These terms constitute a legally binding agreement between you and the Company.

1Definitions

• •"Software" refers to the CabScript taxi booking platform including the Admin Dashboard, Customer App, Driver App, Owner App, front-end website, and all related source code, documentation, and assets.
• •"License" means the non-exclusive, non-transferable right to use the Software as described in your purchase plan.
• •"Deployment" means installing, configuring, and running the Software on your own servers or cloud infrastructure for your business operations.
• •"Customization" means any modifications, feature additions, or integrations made to the Software beyond the standard delivered package.

2License Grant

• •Upon completed payment, the Company grants you a non-exclusive, non-transferable, perpetual license to use the Software for your own business operations.
• •Each license is valid for one (1) business deployment. Running the Software for multiple separate businesses or clients requires additional licenses.
• •You are permitted to modify the source code for your own use but may not resell, redistribute, sublicense, or share the Software or its source code with third parties without prior written consent.
• •The license does not transfer ownership of the Software, its architecture, or intellectual property to the Buyer.

3Pricing & Payment

• •All prices are listed in USD on our pricing page and are subject to change without prior notice. The price at the time of purchase is final.
• •Payment must be completed in full before source code delivery and deployment begins.
• •We accept payments through Razorpay and other secure payment gateways. All transactions are processed via PCI-DSS compliant providers. We do not store your card details.
• •Applicable taxes (GST, VAT, or other local taxes) are the responsibility of the Buyer unless explicitly included in the invoice.

4Delivery & Deployment

• •Upon payment confirmation, the Software source code will be delivered within 2–5 business days via secure channel (private Git repository access or encrypted download).
• •For plans that include deployment assistance, our team will help configure the Admin Dashboard, mobile apps, and server setup. Timelines depend on your infrastructure readiness.
• •Third-party service setup (Google Maps API, Firebase, payment gateways, Apple/Google developer accounts, hosting) is the Buyer's responsibility. We provide guidance and documentation.

5Customization & Support

• •Each purchase plan includes a defined scope of setup assistance and support as described on the pricing page.
• •Additional customization, feature development, third-party integrations, or design changes beyond the plan scope will be quoted separately and require mutual agreement before work begins.
• •Free support covers bug fixes and basic guidance for a period defined by your plan. Extended support, priority response, or dedicated developer allocation may require a support contract.
• •Support is available Monday–Saturday, 9:00 AM – 8:00 PM IST, via email and WhatsApp.

6Scope of Use & Buyer Responsibilities

• •The Software is a white-label taxi/ride-hailing booking platform. You may rebrand it, modify the design, and operate it under your own business name.
• •You are solely responsible for obtaining all necessary business licenses, permits, transport authority approvals, insurance, tax registrations, and legal compliance required to operate a ride-hailing business in your jurisdiction.
• •You are responsible for driver verification, vehicle safety standards, customer data protection, and all regulatory obligations in your operating region.
• •The Company is not a transportation provider and bears no liability for rides, accidents, disputes, or operations conducted through your deployment of the Software.

7Intellectual Property

• •The Software, its original source code, architecture, UI designs, documentation, and all related intellectual property are and remain the property of Laabam One Business Solutions (OPC) Private Limited.
• •You may customize the Software for your business operations but may not claim authorship or ownership of the original codebase.
• •Any custom features or modifications developed by our team as part of paid customization remain the intellectual property of the Company unless explicitly transferred in writing.

8Restrictions

You agree that you will NOT:

• ✕Resell, redistribute, sublicense, share, or make the Software available to any third party without written permission.
• ✕Upload the source code to any public repository, marketplace, or code-sharing platform.
• ✕Remove, alter, or obscure any copyright notices, proprietary labels, or attribution in the source code.
• ✕Use the Software for any unlawful, fraudulent, or harmful purpose.
• ✕Reverse-engineer, decompile, or attempt to derive the proprietary algorithms or architecture for the purpose of creating a competing product.

9Refund Policy

• •Due to the digital nature of the product and instant source code delivery, all sales are final. Refunds are generally not provided after source code has been delivered.
• •If the delivered Software materially fails to match the documented features and we are unable to resolve the issue within a reasonable timeframe, a partial or full refund may be considered at our discretion.
• •Refund requests must be submitted within 7 days of purchase. Please see our full Refund Policy for details.

10Warranty Disclaimer

11Limitation of Liability

• •To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, business opportunities, or goodwill.
• •The Company's total aggregate liability under these Terms shall not exceed the amount paid by you for the specific purchase that gave rise to the claim.
• •The Company is not liable for any losses, claims, or damages arising from the Buyer's operation of a ride-hailing business, including driver/passenger disputes, accidents, regulatory fines, or data breaches on the Buyer's infrastructure.

12Data Protection & Privacy

• •Your personal information collected during purchase (name, email, phone, billing details) is handled according to our Privacy Policy.
• •Once deployed, you become the data controller for all end-user data (drivers, customers, owners) processed through your instance of the Software. You are responsible for implementing appropriate data protection measures, privacy policies, and compliance with applicable data protection laws (GDPR, local regulations, etc.).
• •The Company does not access, store, or process end-user data from your deployment unless explicitly granted access for support purposes.

13Termination

• •The Company may terminate your license if you breach any of these Terms, particularly the restrictions on redistribution, resale, or misuse.
• •Upon termination, you must immediately cease all use of the Software, delete all copies from your servers, and certify deletion in writing if requested.
• •Termination does not entitle you to any refund of fees previously paid.

14Third-Party Services

The Software integrates with third-party services including but not limited to:

These services are governed by their own terms, pricing, and policies. The Company is not responsible for any changes, fees, outages, or policy changes by third-party providers that may affect your use of the Software.

15Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: (a) your use or misuse of the Software; (b) your operation of a transportation or ride-hailing business; (c) your violation of any applicable laws or regulations; or (d) any breach of these Terms.

16Modifications to Terms

The Company reserves the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Software or website after changes constitutes acceptance of the modified Terms. For material changes, we will make reasonable efforts to notify existing customers via email.

17Governing Law & Dispute Resolution

• •These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
• •Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation.
• •If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts in Madurai, Tamil Nadu, India.
